    As a Corporate Paralegal you will be a member of HealthEquity’s growing Legal team, reporting directly to our Corporate Strategy Lawyer. This new role supports a diverse range of legal issues, including many issues related to the integration of HealthEquity’s newly acquired subsidiary WageWorks, and will allow you to make your mark on the Legal organization. The ideal candidate will have strong attention to detail with the ability to effectively prioritize many and diverse tasks. The candidate will work proactively to build relationships, support internal processes’, simplify and support business requests.

    What you’ll be doing

    • Help ensure that HealthEquity and its subsidiaries satisfy the obligations in their bylaws or other organizational documents and any applicable corporate governance laws, rules and regulations by attending to general corporate secretary and governance matters.
    • Research and prepare filings to maintain HealthEquity and its subsidiaries’ organizational structure, including filings required to transact business in various jurisdictions, corporate governance filings required in various jurisdictions and filings upon a change to the Company’s executive officers or Board of Directors.
    • Assist in the drafting of Board and committee minutes, agendas, presentations, calendars, written consents and resolutions; help oversee Board mailings, including contacting directors regarding availability and preparation of Board packages.
    • Oversee subsidiary management and manage corporate records, including maintenance of registrations, corporate books and records, director and officer information, shareholder data, etc.
    • Assist with corporate governance requests from auditors and other stakeholders.
    • Help prepare annual shareholder meeting materials, including the script, ballots, and meeting logistics; coordinate with inspector of elections and transfer agent as required; coordinate distribution, receipt and initial review of director and officer questionnaires.
    • Establish and maintain relevant corporate files.
    • Assist other members of the legal team, as needed, including with respect to equity plan administration and board meeting logistics.

    What you will need to be successful

    • Minimum of 6 years of experience, with public company experience preferred.
    • Confident team-player, creative and strategic thinker with the ability to influence and build trusted relationships.
    • Excellent organizational skills and ability to prioritize effectively; ability to work under pressure without compromising quality.
    • Paralegal certification and public notary a plus.
    • Committed to working with integrity and producing excellent, accurate work in a timely manner.
    • Good judgment and ability to set priorities.
    • Demonstrated creative, flexible problem-solving skills and attention to detail.
    • Ability to handle multiple projects and shifting priorities.
    • Ability to handle sensitive matters and maintain confidentiality.
    • Ability to work well in a demanding and fast-paced environment.
    • Ability to work well independently as well as effectively within a team.
    • Ability to use discretion and exercise independent and sound judgment.
